There's an important difference in how W2K and W2K3 store DHCP information. W2K DHCP server store their scope configuration information in the Registry, but W2K3 DHCP servers store this information in the DHCP database located in %SystemRoot%\System32\Dhcp. That means scope configurations are automatically backed up in W2K3 when the DHCP database is backed up, which makes it easier to recover from DHCP corruption on the new platform.

Which is another good reason to upgrade from W2K to W2K3. Besides the fact that since W2K has been around for 5 years, so it's now moving to Extended Support which means you have to pay for anything except critical security updates.
